Defining the Acquisition Strategy

We analyze your project in order to define a clear acquisition strategy, aligned with your growth objectives, sector expertise, and investment capacity.

Target Identification and Profiling

Based on this analysis, we conduct target identification and profiling through our network and proprietary deal sourcing activities in Belgium and internationally.

Launch of the sales process

We initiate a targeted outreach process and approach potential buyers confidentially.

Interested parties submit Indications of Interest (IOI) which allow us to assess market appetite and shortlist the most serious buyers.

Management presentations and negotiations

Shortlisted buyers are invited to participate in management presentations, where management presents the strategic vision and growth potential of the company.

At this stage we drive negotiations on:
  • valuation
  • transaction structure
  • governance arrangements
  • post-transaction strategy
Our role is to create competitive tension between buyers to maximize value.

Due diligence and data room management

Selected buyers gain access to a Virtual Data Room (VDR) containing detailed financial, legal and operational information.

We manage the due diligence process while ensuring strict control over sensitive information.
This phase typically results in a Letter of Intent (LOI) or Term Sheet from the preferred buyer.

Transaction structuring and closing

Once the final buyer is selected, we coordinate the final steps of the transaction, including:

  • negotiation of the Share Purchase Agreement (SPA)
  • transaction structuring (earn-outs, rollover equity, vendor notes)
  • implementation of Reps & Warranties Insurance where appropriate
  • final price mechanics (Locked-Box or Completion Accounts)
